By accessing or using the Southern Standard Nannies website, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.

DEFINITIONS

For the purposes of these Terms of Service:

  • "Company," "we," "us," or "our" refers to Southern Standard Nannies
  • "You" means the individual accessing or using the Service, or the company or legal entity on behalf of which such individual is accessing or using the Service
  • "Service" refers to the Website

  • "Content" refers to content such as text, images, or other information that can be posted, uploaded, linked to or otherwise made available by You
  • "Account" means a unique account created for You to access our Service or parts of our Service

1. Acceptance of Terms

By accessing and using the Southern Standard Nannies website ("Site"), you accept and agree to be bound by these terms. Southern Standard Nannies reserves the right to modify these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. Your continued use of the Site following any changes indicates your acceptance of the new Terms.

You represent that you are over the age of 18. Southern Standard Nannies does not permit those under 18 to use the Service.

2. Description of Services

Southern Standard Nannies is a household staffing agency that connects families seeking childcare and household support with qualified professional caregivers. Our services include nanny placement, household staffing placement, newborn care specialist placement, candidate vetting and screening, and family consultation services.

3. User Accounts

When You create an account with us, You must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of Your account.

You are responsible for safeguarding the password that You use to access the Service and for any activities or actions under Your password. You agree not to disclose Your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of Your account.

4. User Responsibilities

Families agree to:

  • Provide accurate information about their household and expectations
  • Comply with all applicable employment laws including proper tax withholding and payroll
  • Treat candidates with respect and professionalism
  • Notify Southern Standard Nannies of any concerns during the placement process

Candidates agree to:

  • Provide accurate and truthful information about qualifications and experience
  • Maintain required certifications (CPR, First Aid, etc.)
  • Conduct themselves professionally during all interactions
  • Honor commitments made to families placed through our agency

5. Services and Fees

For Families: Our placement services require payment of fees as outlined in our service agreement. Registration fees are non-refundable. Placement fees are subject to our guarantee period as outlined in individual service agreements.

For Candidates: Southern Standard Nannies does not charge candidates any fees for representation or placement services.

6. Employment Relationship

Important: Southern Standard Nannies is a referral agency. We do not employ nannies or household staff. Families who hire through our agency become the legal employer and are responsible for all payroll, taxes, employment-related obligations, workers' compensation insurance, and compliance with all federal, state, and local employment laws.

The employment relationship exists solely between the family and the caregiver. Southern Standard Nannies is not a party to this employment relationship.

7. Background Checks and Screening

Southern Standard Nannies conducts thorough screening of all candidates, including reference checks and background checks. However, families acknowledge that they are the ultimate employer and bear responsibility for their hiring decisions. We encourage families to conduct additional screening as they deem appropriate.

8. Content

Your Right to Post Content

Our Service may allow You to post Content. You are responsible for the Content that You post to the Service, including its legality, reliability, and appropriateness.

By posting Content to the Service, You grant us the right and license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content on and through the Service. You represent and warrant that: (i) the Content is Yours or You have the right to use it, and (ii) the posting of Your Content does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person.

Content Restrictions

You may not transmit any Content that is unlawful, offensive, threatening, libelous, defamatory, obscene, or otherwise objectionable. This includes but is not limited to:

  • Unlawful or promoting unlawful activity
  • Defamatory, discriminatory, or mean-spirited content
  • Spam, unauthorized advertising, or unsolicited communications
  • Content containing viruses, malware, or other harmful code
  • Content infringing on proprietary rights of any party
  • Impersonating any person or entity
  • Violating the privacy of any third person
  • False information and features

Southern Standard Nannies reserves the right to refuse or remove Content and to limit or revoke use of the Service if You post objectionable Content.

9. Copyright Policy

DMCA Notice and Procedure

We respect the intellectual property rights of others. If You are a copyright owner and believe that copyrighted work has been copied in a way that constitutes copyright infringement through our Service, You must submit Your notice in writing to our copyright agent at [EMAIL] and include:

  • A description of the copyrighted work that You claim has been infringed

The Southern Standard Nannies name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Southern Standard Nannies. You may not use any content or marks without our prior written permission.

11. Your Feedback to Us

You assign all rights, title, and interest in any Feedback You provide to Southern Standard Nannies. If for any reason such assignment is ineffective, You agree to grant us a non-exclusive, perpetual, irrevocable, royalty-free, worldwide right and license to use, reproduce, disclose, sub-license, distribute, modify, and exploit such Feedback without restriction.

12. Confidentiality and Privacy

Families and candidates agree to maintain confidentiality regarding any private information shared during the placement process. Candidates agree not to share private family information. Violation of confidentiality may result in immediate termination of services.

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

13. Prohibited Uses

You agree not to use the Site for any unlawful purpose, to harass or harm another person, to impersonate any person or entity, to interfere with the Site's operation, to collect personal information without consent, or to circumvent our placement services.

14. Links to Other Websites

Our Service may contain links to third-party websites or services that are not owned or controlled by Southern Standard Nannies. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. We strongly advise You to read the terms and conditions and privacy policies of any third-party websites that You visit.

15. Termination

We may terminate or suspend Your Account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms and Conditions. Upon termination, Your right to use the Service will cease immediately.

16. Limitation of Liability

To the fullest extent permitted by law, Southern Standard Nannies shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Site or services, the employment relationship between families and caregivers, or any actions of candidates placed through our services.

Our total liability to you shall not exceed the total amount of fees paid by you to Southern Standard Nannies in the twelve months preceding any claim, or $100 if You haven't purchased anything through the Service.

Some states do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply. In these states, each party's liability will be limited to the greatest extent permitted by law.

17. "AS IS" and "AS AVAILABLE" Disclaimer

The Service is provided to You "AS IS" and "AS AVAILABLE" with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, Southern Standard Nannies expressly disclaims all warranties, whether express, implied, statutory, or otherwise, with respect to the Service, including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Without limitation to the foregoing, Southern Standard Nannies provides no warranty or undertaking that the Service will meet Your requirements, achieve any intended results, be compatible or work with any other software or services, operate without interruption, meet any performance or reliability standards, or be error-free, or that any errors or defects can or will be corrected.

18. Indemnification

You agree to indemnify and hold harmless Southern Standard Nannies from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Site, violation of these Terms, violation of any third-party rights, or any employment relationship between families and caregivers.

19. Dispute Resolution

Governing Law: These Terms shall be governed by the laws of the State of Tennessee, without regard to its conflict of law provisions.

Disputes: If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting Southern Standard Nannies.

Arbitration: Any dispute arising from these Terms or our services that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Tennessee.

20. United States Legal Compliance

You represent and warrant that (i) You are not located in a country that is subject to the United States government embargo, or that has been designated by the United States government as a "terrorist supporting" country, and (ii) You are not listed on any United States government list of prohibited or restricted parties.

21. Severability and Waiver

If any provision of these Terms is held to be unenforceable or invalid, that provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

The failure to exercise a right or require performance of an obligation under these Terms shall not affect a party's ability to exercise such right or require such performance at any time thereafter, nor shall the waiver of a breach constitute a waiver of any subsequent breach.

22. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, please stop using the website and the Service.
